APPLE AI PTY LTD – TERMS AND CONDITIONS

Welcome to Crown Control, a trademark of Apple Ai Pty Ltd. We provide an automated answering phone system designed for dental clinics, handling patient calls, scheduling appointments, and managing administrative workflows.

These Terms and Conditions, along with any applicable Quote we provide, form the contract between you (the customer) and Apple Ai Pty Ltd (trading as Crown Control). By using our Services, you agree to these Terms.

1. IMPORTANT DISCLOSURES

Before you proceed, please review:

  • Our Privacy Policy (available on our website), outlining how we handle personal information.

  • Clause 4 (Variations) – Explains how we may update these Terms.

  • Clause 6 (Subscription) – Covers auto-renewals, cancellations, and billing details.

  • Clause 13 (Liability) – Sets out our liability limitations.

We may receive a benefit (such as commissions or referral fees) from third-party platforms linked to our services.

These Terms do not override your legal rights under applicable consumer laws.

2. ENGAGEMENT & TERM

2.1 These Terms apply from when you create an Account until your Subscription is terminated. We grant you a limited right to use our Services during this period.

2.2 You must be at least 18 years old to use Crown Control.

2.3 Variations: We may amend these Terms by providing you with written notice. If you do not agree with a change, you may cancel your Subscription before the changes take effect.

  • If you cancel, you will no longer have access to our smart call system.

  • If you prepaid for a Subscription, you will receive a pro-rata refund for the unused portion.

3. DISCLAIMERS

3.1 Service Accuracy: Crown Control provides an automated smart call system, but we do not guarantee 100% accuracy in responses or call handling.

3.2 Appointment Verification: Clinics remain responsible for reviewing and verifying scheduled appointments.

3.3 Third-Party Software: If you integrate Crown Control with Dentally, Cliniko, D4W, or other CRM platforms, any technical failures or inaccuracies within third-party software are not our responsibility.

4. OUR SERVICES

4.1 Crown Control provides:

  • Smart Call System (SaaS Service) – Automates call handling, appointment scheduling, and call transfers.

  • Support Services – Technical troubleshooting and assistance.

4.2 SaaS Service

We will provide our smart call system to manage patient interactions and assist with administrative workflows.

4.3 Support Services

  • Available for troubleshooting.

  • Does not include hardware installation, training, or CRM modifications unless specified in a Quote.

4.4 Beta Services

If you access new or beta features, these services are provided “as is” and may be discontinued at any time.

5. ACCOUNT & SECURITY

5.1 You must create an Account to access Crown Control services.

5.2 Authorized Users: You may add employees or staff as users under your clinic's account. You are responsible for ensuring all users comply with these Terms.

5.3 Security Requirements:

  • Keep your login credentials secure.

  • Notify us immediately if you suspect unauthorized account access.

6. FEES & BILLING

6.1 You agree to pay:
(a) Monthly Subscription Fees – Covers base usage of our smart call system.
(b) Usage Fees – Calculated per-minute for call handling.

6.2 Billing & Payment

  • Subscription Fees are billed at the start of each billing cycle.

  • Usage Fees are charged at the end of each cycle.

  • Payment is processed through third-party payment providers.

6.3 Late Payments

If Subscription Fees are overdue, we may:
(a) Suspend access to our Services.
(b) Charge interest on overdue amounts at 2% per annum above the Reserve Bank of Australia’s cash rate.

6.4 Trial Periods
Trial periods are only available if explicitly agreed upon by Crown Control under specific terms and conditions. If a trial is granted, billing will commence automatically at the end of the trial period unless the subscription is canceled before the trial expires.

7. PLATFORM LICENSE

7.1 We grant you a limited license to use our smart call system, subject to these Terms.

7.2 You must NOT:

  • Reverse engineer or attempt to copy our software.

  • Use Crown Control for unauthorized reselling or time-sharing.

  • Introduce malicious software or misuse our Platform.

8. SERVICE AVAILABILITY & DOWNTIME

8.1 While we strive for high uptime, we do not guarantee 100% availability.

8.2 Service disruptions may occur due to:

  • Scheduled maintenance.

  • Third-party software failures (e.g., CRM system outages).

8.3 We will attempt to provide reasonable notice for any planned disruptions.

9. INTELLECTUAL PROPERTY & DATA

9.1 Ownership: Crown Control retains all intellectual property rights in our Services.

9.2 Your Data:

  • You retain ownership of patient and clinic data.

  • By using our Services, you grant us a limited license to process Your Data to deliver the smart call system functionality.

9.3 We may generate anonymized usage analytics to improve our system’s performance.

10. CONFIDENTIALITY

10.1 Each party agrees to keep confidential information secure and not disclose it without prior consent.

10.2 We may disclose confidential information if legally required.

11. PRIVACY & SECURITY

11.1 We comply with the Privacy Act 1988 (Cth) and other relevant Australian privacy laws.

11.2 Your Responsibilities:

  • You must inform patients that their calls may be handled by an smart call system.

  • If you store patient data in an external system, you must ensure it is legally compliant.

11.3 We do not store or retain patient call recordings beyond the duration required for processing.

12. CONSUMER LAW RIGHTS

12.1 These Terms do not exclude your rights under Australian Consumer Law.

12.2 Refunds are not provided for a change of mind.

12.3 If a service failure occurs, we may:

  • Re-supply the service, or

  • Issue a partial refund.

13. LIABILITY

13.1 To the maximum extent permitted by law, Crown Control is not liable for:

  • Incorrect or missed appointments due to user error.

  • Loss of revenue due to system downtime.

13.2 Our total liability is limited to the value of your Subscription Fees paid in the last 6 months.

14. TERMINATION

14.1 We may suspend or terminate your account if:

  • You fail to pay Subscription Fees.

  • You breach these Terms and do not rectify within 14 days.

14.2 You may terminate your Subscription at any time.

14.3 Upon termination, Crown Control may retain necessary business records for compliance purposes.

15. GENERAL TERMS

15.1 Disputes: Any disputes will be referred to mediation first before legal action.

15.2 Governing Law: These Terms are governed by Australian law and disputes are handled in New South Wales courts.

15.3 Marketing: We may publicly reference your clinic as a customer unless you request otherwise.

16. DEFINITIONS

Account – Your registered Crown Control account.
Services – Our smart call system and related support.
Subscription Fees – Monthly charges for using Crown Control.
Usage Fees – Per-minute fees based on call handling.
